
It is important that you review and understand these terms before using the IPHM Growth Hub platform and services. If you do not agree to these terms, do not accept them, do not create an account, and do not use the platform or services.
If you have questions about these terms, you should speak to a solicitor.
We may update these terms from time to time. We will let you know when we do. If you continue using the platform after we update the terms, that means you agree to the updated terms.
Please note that these terms include clauses that limit your rights, including warranty disclaimers, limitations of liability, and a mandatory mediation and arbitration clause. Please read them carefully.
These terms of service, in combination with our Privacy Policy and Data Processing Agreement (collectively the "Terms"), form a binding legal commitment between you (or the business entity you represent) and International Practitioners of Holistic Medicine, a trading name of Holistic Therapy Services Ltd, and its respective officers, directors, successors and assigns (referred to as "IPHM", "we" or "us"). They govern your access to and use of the Platform and all other interactions with IPHM related to the Platform.
If you do not agree to these terms, you should not accept them, create an account, or use the Platform.
IPHM reserves the right to make changes to these Terms at any time. All changes are effective immediately when posted. Your continued use of the Platform following the posting of any revised Terms constitutes your acceptance of the updated Terms.
You should consult a solicitor for legal advice and to ensure that your use of the Platform complies with these Terms and applicable laws.
1. Use of Platform
1.1. Age Restrictions.
You must be at least 18 years old to use the Platform. By accepting these Terms, creating a Platform Account, or using the Platform, you confirm that you are at least 18 years old.
1.2. Platform Account Ownership.
The person who accepts these Terms is the owner of the Platform Account. If you accepted the Terms on behalf of a business entity, the business entity is the owner of the Platform Account.
Your use of the Platform is conditional on your providing complete, current, and accurate information when registering for an account. The Platform is intended for business use or in connection with an individual's trade, craft, or profession. If you accept these Terms on behalf of a business entity, you confirm that you have the authority to bind that business entity to these Terms.
1.3. Intended Use.
You may only use the Platform for lawful purposes and in accordance with these Terms. You agree that you will not use the Platform in any way that violates any applicable law or regulation, or engage in any Prohibited Uses as set out in Section 2.
In addition, you represent and warrant that:
You will maintain all licences, permissions, authorisations, and consents necessary to carry out your obligations under these Terms.
You are fully responsible for your own actions and the actions of any employees or agents who use the Platform on your behalf.
You own or control all rights in and to any content you provide to the Platform.
You will ensure that all employees and agents using the Platform are made aware of and agree to be subject to these Terms.
You are solely responsible for your use of the Platform, including the quality and integrity of any data or information you make available through it.
1.4. Privacy.
By using the Platform and providing information on or through it, you consent to IPHM's use and disclosure of that information in accordance with our Privacy Policy. You must implement and enforce your own Privacy Policy, providing a level of protection at least equal to that provided to you by IPHM and HighLevel. You are responsible for obtaining the necessary permissions and consents from your own customers before providing their data to us.
1.5. Login Credentials.
You are responsible for maintaining the confidentiality of your Login Credentials. You are responsible for all activity on your Platform Account, whether or not authorised by you. Please notify us immediately of any unauthorised access or suspected breach of security. Platform Accounts are non-transferable. IPHM reserves the right to disable your Login Credentials at any time if, in our opinion, you have violated any provision of these Terms.
1.6. Use of Communication Services.
The Platform may include communication features such as SMS, MMS, email, and voice capabilities. If you use these features, you are exclusively responsible for all communications sent using the Platform and for ensuring your communications comply with all applicable laws. IPHM is a technology platform provider only. IPHM does not originate, send, or deliver communications on your behalf. All communications are created and initiated by you.
1.7. Third Party Services.
The Platform operates on and integrates with HighLevel and other third-party services. IPHM is not responsible for the availability or performance of those third-party services. If you pause or delete your Platform Account, certain features or functionality may not be retrievable upon reactivation. If you pause your account for more than 30 days and IPHM is still incurring costs on your behalf relating to third-party services, IPHM reserves the right to release associated resources or delete your account without liability.
1.8. Third-Party Content.
The Platform may include content provided by third parties. Your use of any third-party content is at your own risk. IPHM does not endorse, and is not responsible for, any third-party content accessible through the Platform.
1.9. Excessive Use.
We provide access to the Platform on a reasonable use basis. If, in IPHM's sole discretion, your data use is deemed excessive or abusive, we may require you to upgrade your plan, suspend or terminate your access, or reduce the data available to you.
1.10. Platform Updates.
IPHM reserves the right to make updates or changes to the Platform at any time, including changes that may affect its previous mode of operation. Your use of the Platform is not contingent on the continuation of any particular feature or service.
1.11. International Use.
The Platform is operated from the United Kingdom. If you access the Platform from outside the UK, you are responsible for compliance with local laws in your jurisdiction. IPHM makes no representation that the Platform is appropriate or available for use in all locations.
2. Prohibited Uses
The following are considered Prohibited Uses of the Platform. Engaging in any Prohibited Use is a material breach of these Terms and may result in the immediate suspension or termination of your Platform Account:
Using the Platform in any way that violates any applicable law or regulation.
Using the Platform to exploit or harm any person in any way.
Transmitting any unlawful advertising or promotional material, including spam or unsolicited communications.
Impersonating IPHM, HighLevel, any IPHM employee, or any other person or entity.
Engaging in any conduct that restricts or inhibits anyone else's use or enjoyment of the Platform.
Using the Platform in any manner that could damage, disable, overburden, or impair it.
Using any automated means to access, monitor, or copy any material on the Platform without IPHM's prior written consent.
Introducing any viruses, malicious code, or other harmful material into the Platform.
Attempting to gain unauthorised access to any part of the Platform or any connected server or database.
Attempting to interfere with the proper working of the Platform in any way.
3. Payment and Pricing
3.1. Fees.
Your use of the Platform is subject to the timely payment of all applicable fees. Fees may change from time to time. All fees are non-refundable unless otherwise stated. Subscription fees are billed in advance. You agree to provide accurate and complete billing information and to notify us of any changes within 10 days.
3.2. IPHM Member Pricing.
If you are an active accredited member of IPHM at the time of subscribing to the Growth Hub, you will be entitled to the member rate applicable at that time. This discounted rate will remain in place for as long as your IPHM accreditation remains active and in good standing.
If your IPHM accreditation lapses, is suspended, is voluntarily withdrawn, or you choose to leave IPHM accreditation for any reason, the member rate will cease immediately from the date your accreditation is no longer active. From that point, the full standard rate for the Growth Hub, as applicable at that time, will apply to your account. No notice period applies. You will be responsible for any difference in pricing from the point your accreditation ends.
It is your responsibility to maintain your IPHM accreditation if you wish to retain the member rate. IPHM reserves the right to update the standard rate at any time, and the rate that applies upon loss of accreditation will be whatever the current standard rate is at that point.
3.3. Auto-renewal.
Your subscription will auto-renew on expiry each month or year unless you cancel in writing before your next billing date.
3.4. Non-cancellable Commitments.
Some subscriptions may require a minimum commitment period. Fees for such commitments will continue to apply until the minimum commitment has been fulfilled.
3.5. Overdue Amounts.
If your payment is declined, we may suspend or terminate your access to the Platform and require payment by other means. In the event that legal action is necessary to recover overdue amounts, you agree to reimburse IPHM for all reasonable costs incurred, including legal fees.
3.6. Payment Disputes.
You must notify us in writing within 60 days of the date of billing if you wish to dispute any fees. You must continue to pay all invoiced amounts while a dispute is pending, or you waive the right to pursue the dispute.
3.7. No Refunds or Credits.
All fees are non-refundable. If you subscribe but do not access the Platform, you remain responsible for all fees during the term of your subscription. IPHM reserves the right to issue or decline a refund at its sole discretion.
3.8. Cancellations.
You are solely responsible for cancelling your subscription. No refund will be provided for failure to cancel properly. Written notice of cancellation must be received at least 30 days before your next billing date.
4. Intellectual Property
4.1. Platform Content.
The Platform and all content within it are the property of IPHM and HighLevel and are protected by copyright, trademark, and other intellectual property laws. IPHM grants you a personal, non-exclusive, revocable, royalty-free licence to access and use the Platform for its intended purpose. Any other use, including reproduction, modification, or distribution of Platform content, is strictly prohibited without prior written permission from IPHM.
4.2. Your Content.
You retain ownership of any content you post or upload to the Platform. By doing so, you grant IPHM a licence to use, reproduce, modify, and distribute that content for the purpose of operating and improving the Platform. You are responsible for ensuring that anything you post complies with these Terms and applicable laws.
4.3. Prohibited Content.
You must not post content that is unlawful, defamatory, abusive, or fraudulent; that harasses or discriminates against any individual or group; that infringes any third-party intellectual property rights; or that compromises the security of the Platform.
4.4. Feedback.
If you provide feedback or suggestions about the Platform, you agree that IPHM may use that feedback without any obligation to you. You grant IPHM a perpetual, irrevocable, royalty-free licence to use any feedback you submit.
4.5. Copyright Infringement.
If you believe your intellectual property rights have been infringed by a third party's use of the Platform, please notify us in writing at [email protected]. Your notice should include your contact details, a description of the work you believe has been infringed, the location of the infringing material on the Platform, and a statement that you have a good faith belief the use is not authorised.
5. Disclaimers
The Platform is provided on an "as is" and "as available" basis without warranty of any kind, either express or implied. Your use of the Platform is at your own risk.
IPHM does not warrant that the Platform will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any results obtained from use of the Platform will be accurate or reliable.
IPHM is not liable for any changes to, interception of, or loss of your data while in transit via the internet or any telecommunications network.
IPHM makes no warranty regarding any transactions conducted through third-party services in connection with the Platform. Any warranty provided in connection with a third-party service is solely the responsibility of that third party.
IPHM reserves the right to modify or discontinue the Platform, including any features or services, at any time with or without notice.
6. Limitation of Liability and Indemnification
To the fullest extent permitted by law, IPHM's total liability to you for any claims arising out of these Terms or your use of the Platform shall be limited to the amount you paid to IPHM in the three-month period before the event giving rise to the claim.
IPHM shall not be liable for any indirect, special, punitive, incidental, or consequential damages of any kind, including but not limited to loss of data, loss of profit, or loss of use, whether or not we have been advised of the possibility of such damages.
You agree to defend, indemnify, and hold IPHM harmless against all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, any breach of these Terms, any negligence or misconduct by you or your agents, or any violation of applicable law.
7. Time Limit on Claims
Any claim arising out of or relating to these Terms or the Platform must be commenced within three months of the event giving rise to the claim. Claims not brought within this period are permanently barred.
8. Change of Control
IPHM may assign its rights under these Terms at any time without notice to you. You may not assign your rights under these Terms without IPHM's prior written consent.
9. Entire Agreement
These Terms constitute the entire agreement between you and IPHM with respect to the Platform and supersede all prior agreements, representations, and understandings relating to it. These Terms may not be amended except by a document signed by an authorised representative of IPHM.
10. Term and Termination
These Terms remain in force for as long as you hold a Platform Account.
IPHM may suspend or terminate your access to the Platform at any time, for any reason, with or without notice, and without liability to you. Suspected fraudulent, abusive, or illegal activity may result in immediate termination and referral to the relevant authorities. IPHM reserves the right to delete accounts that have been inactive for 12 months or more.
Upon termination, your right to use the Platform ceases immediately. IPHM is not liable to you for any claims arising from termination or suspension.
If you wish to terminate your account, you must give written notice to IPHM at least 30 days before your next billing date.
IPHM shall not be liable for any failure or delay in providing the Platform resulting from events beyond its reasonable control, including but not limited to labour disruption, war, fire, accident, adverse weather, or governmental regulation.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales.
If a dispute arises between you and IPHM that cannot be resolved within 28 days, the matter will be referred to mediation in accordance with the CEDR Model Mediation Procedure. Unless otherwise agreed, the mediator will be nominated by CEDR. Mediation will begin no later than 15 business days after written notice is given.
All claims must be brought on an individual basis. Claims may not be brought on a class or consolidated basis.

IPHM will never contact you by email to request confidential information such as passwords or account numbers. If you receive such an email purporting to be from IPHM, do not respond and notify us immediately.
13. Definitions
"Fees" means any fees associated with your use of the Platform, including subscription fees and any add-on service fees.
"HighLevel" means the underlying technology platform on which the IPHM Growth Hub is built.
"IPHM Accreditation" means active accredited membership of International Practitioners of Holistic Medicine, in good standing and not lapsed, suspended, or withdrawn.
"Login Credentials" means the username and password used to access your Platform Account.
"Member Rate" means the discounted subscription rate available exclusively to active accredited members of IPHM.
"Platform" means the IPHM Growth Hub and all associated services, content, functionality, and features accessible through it.
"Platform Account" means the account you created in order to access and use the IPHM Growth Hub.
"Platform Content" means text, graphics, videos, logos, databases, and other material that can be viewed on the Platform, not including your own content.
"Prohibited Uses" means the behaviours described in Section 2.
"Standard Rate" means the full subscription rate applicable to non-members or those whose IPHM accreditation is no longer active, as set by IPHM from time to time.
"Third Party Services" means services owned and provided by third-party vendors that IPHM makes available through the Platform, including HighLevel.
"User Content" means content or materials that you post, upload, publish, or transmit on or through the Platform.
"You" means the individual who accepted these Terms, or the business entity they represent, including any agents or employees authorised to act on their behalf.
